上海昊海生物科技股份有限公司（“公司”）于2025年12月29日发布翌日披露报表，公告H股回购及已发行股本变动情况。公告显示，公司自2025年9月15日至12月4日期间回购的2,019,500股H股已于12月29日予以注销，占注销前公司现有已发行股本的约0.8829%，平均每股回购价为每股27.54港元。注销后，公司H股股本数目变更为36,509,740股。
公告同时披露，公司于2025年12月29日通过香港交易所再度回购61,000股H股，每股价格介乎25港元至25.4港元，总涉资约153.42万港元。根据已获股东于2025年6月10日通过的回购授权，公司可回购股份总数为3,914,184股，截至本次回购累计已回购2,600,200股，占授权通过日公司已发行股本总数的约6.643%。
公司现有股份总数为228,733,000股，其中包括36,509,740股H股及190,203,760股A股（上海证券交易所科创板，股份代号：688366）。公司确认已遵守香港联合交易所有限公司证券上市规则及其他适用法律法规所规定的相关程序。本公告由公司董秘兼联席公司秘书田敏签署。
