美佳音控股有限公司（06939）8月12日发布联合公告称，由GEEHY INTERNATIONAL LIMITED提出、每股0.61港元的无条件强制性现金要约已于2026年8月12日16时截止，期间未作修订或延长。
截至截止时间，要约人共接获3份有效接纳，涉及28,050股，占公司已发行股本约0.0045%。按要约价计算，须支付的总代价为17,110.5港元。根据收购守则规定，相关款项将在收到所有完整有效文件后7个营业日内（最迟不晚于2026年8月21日）以普通邮递方式寄发予接受要约的独立股东。
在股份过户登记完成后，要约人及其一致行动人士将合计持有314,778,050股，约占公司已发行股本50.57%。此前，在2026年7月16日完成的股份购买协议及特别授权认购后，要约人及其一致行动人士合计持股314,750,000股，占比50.56%。
要约结束后，公众股东持有183,159,450股，占已发行股本29.42%。公司继续符合香港联交所《上市规则》第8.08(1)(a)条所载的最低公众持股量要求。
