2026年8月18日，深圳市广和通无线股份有限公司（00638，下称“广和通”）公告称，已收到国家市场监督管理总局出具的《经营者集中反垄断审查不实施进一步审查决定书》（反执二审查决定〔2026〕428号）。依据该决定，广和通收购深圳市航盛电子股份有限公司（下称“航盛电子”）股权案无须进入进一步审查，公司可自即日起实施集中。
根据此前于2026年8月7日披露的交易方案，广和通拟以现金方式向深圳华建佳创企业管理咨询合伙企业（有限合伙）等38名航盛电子股东购买合计11,901.5321万股航盛电子股份，占其总股本的37.16%；并通过一致行动协议合计取得航盛电子51.40%的表决权，从而实现对航盛电子的控制。交易完成后，航盛电子将成为广和通的控股子公司。
公司强调，本次交易构成《上市公司重大资产重组管理办法》规定的重大资产重组，尚需股东大会审议通过，并需取得相关法律法规及监管规则所要求的其他批准或备案后方可实施，存在审批进度及结果的不确定性。
广和通表示，将根据交易后续进展及时履行信息披露义务，提醒投资者关注相关风险。
