天鸽互动(1980)最新公众持股量约20.85% 仍低于最低要求

天鸽互动控股有限公司(「天鸽互动」或「公司」，股份代号：1980)与Truesense Trading Limited(「Truesense」)联合发布的公告显示，公司当前公众持股量约为20.85%，低于香港联合交易所有限公司证券上市规则第13.32B(1)条所载的最低公众持股量要求。

天鸽互动此前获悉新浪(通过禹铭投资管理有限公司)已向公司提出附带先决条件的自愿现金部分要约，拟收购公司合计32,500,000股股份。该部分要约在获得收购守则规则28.1项下的同意，以及新浪与公司主要股东及其一致行动人士之间不被认定为一致行动人后，于2026年2月4日确认所有先决条件均已达成。

根据收购守则规则4的规定，目标公司董事会在要约期间如未获股东大会批准，不得采取可能阻碍要约进程的行动，该等行动包括发行新股或授出购股权。公司原本计划通过类似举措恢复公众持股量，但鉴于部分要约已正式生效，董事会须待要约期结束后方可推进相关安排。

公告同时指出，天鸽互动将继续密切关注部分要约进展，并在要约结束后于可行情况下尽快采取适当措施，以满足上市规则的最低公众持股量要求。公司亦会就向联交所申请豁免严格遵守上市规则第13.33(1)条公众持股量规定的结果，以及后续恢复公众持股量的最新进展，于适当时机另行发布公告。
