AGTech Holdings (8279) Announces Profit Warning for 2025 Interim Period

AGTech Holdings Limited (Stock Code: 8279) issued a profit warning indicating an anticipated loss of no less than HK$20 million for the six months ended September 30, 2025, compared to a loss of approximately HK$1.6 million in the same period in 2024. The loss attributable to owners of the company is expected to be no less than HK$9 million, whereas a profit of around HK$2 million was recorded in the prior period.

According to the announcement dated October 28, 2025, the change is primarily due to consolidating Ant Bank (Macao) Limited’s financial statements for the entire 2025 Interim Period versus only about one month in the comparable period. The group’s loss from banking operations rose from approximately HK$7 million in 2024 to no less than HK$18 million in 2025. Although total revenue increased by no less than 30%, the group’s other operating expenses grew at a similar pace.

Interest expenses at Ant Bank (Macao) surged from approximately HK$3 million in the 2024 six-month period to no less than HK$48 million for the 2025 Interim Period, attributed to full-period consolidation and a rise of about 180% in the average balance of customer deposits. Meanwhile, finance income declined by nearly HK$10 million, moving from approximately HK$25 million in 2024 to about HK$15 million in 2025, largely due to lower market interest rates and decreased deposits with financial institutions.

Additionally, net other losses increased from approximately HK$0.8 million to no less than HK$5 million, driven by foreign exchange losses in Ant Bank (Macao). A fair value loss of no more than HK$2 million on convertible term loan facilities in India is also expected, compared with a gain of about HK$3 million in the previous period.
