WebX International Discloses USD 3.90 Million Computing-Power Prepayment to Pansemi, Equal to 13.6% of 2025 Total Assets

WebX International Holdings Company Limited (WEBX INTL HLDGS) has issued a supplemental announcement to its 2025 annual report to detail a significant prepayment made for computing-power services.

On 31 October 2025, wholly owned subsidiary Cloudpotent Limited signed a one-year Lease Service Agreement with Singapore-based Pansemi (Singapore) Pte. Ltd. covering 1 November 2025 to 31 October 2026. Under the contract, Cloudpotent paid the full service fee of USD 3.90 million (approximately HKD 30.00 million) upfront. The payment bears no interest and is unsecured, reflecting its treatment as a service fee in the ordinary course of business.

As at 31 December 2025, the outstanding prepayment remained at USD 3.90 million. With the Group’s audited total assets standing at HKD 221.30 million, the prepayment represents about 13.6 % of total assets. This proportion exceeded the 8 % threshold under Rule 17.22 of the GEM Listing Rules, necessitating the supplemental disclosure.

Pansemi, an independent third-party semiconductor and electronics trader in Southeast Asia, operates a computing-power service platform and holds official global sales authorisation for “WhatsMiner” products.

The Board affirms that all information in the announcement is accurate and complete, with directors collectively accepting full responsibility for its contents. The notice remains accessible on the Hong Kong Stock Exchange and company websites for at least seven days from 13 April 2026.
