药师帮股份有限公司（09885）8月20日披露自愿性公告称，根据公司与受托人所订立的信托安排，受托人已于2026年3月23日至2026年7月21日期间（不含首尾两日），在公开市场累计回购35,365,600股公司股份，总代价1.59亿元港元，回购均价约为每股4.49港元。
公司表示，上述股份将用于满足2023年股份激励计划项下授出的奖励，包括已于2026年3月24日公告的向张步镇先生及陈飞先生授出的购股权。待相关购股权行使后，回购股份将由信托基金转让予合资格参与者，公司不会发行新股，也不会导致已发行股本被稀释。
药师帮指出，当前股价低于其内在价值，为受托人在市场回购股份以补充信托基金提供了机会。公司并称，未来可能在股份激励计划框架下进一步授出奖励，受托人亦可能继续回购股份，并将视情况发布相关自愿公告。
公告显示，药师帮董事会认为，通过股份激励计划进行回购有助于展示对业务前景的信心，并有助于吸引和激励关键员工，实现集团的长期可持续发展策略。
