中国智能健康一万 (00348)于近日在公告中披露，将提请股东批准公司回购股份的一般性授权。本次购回上限为不超过已发行股本(不包括库存股份)的10%，若于股东周年大会通过，董事会可在授权期间内回购最多77,048,083股，约占截至最新可行日期公司已发行股份总数770,480,836股的10%。
公司表示，资金将来自于公司的可动用现金及运营资金，并符合开曼群岛法律及香港上市规则等相关规定。董事会认为，若实际行使本次回购，可有助于提高每股资产净值以及公司每股盈利，为股东带来更大回报。公司将于6月25日召开股东周年大会审议上述回购计划。公司董事会同时强调，此举符合公司及其股东的整体最佳利益，呼吁符合资格的股东届时参与投票。
根据公告，若获得股东批准，董事会将可在一年内（或至下届股东周年大会结束、公司须召开下届股东周年大会的法定期限届满、或股东于股东大会上通过普通决议案撤销或修订该授权之日，以较早者为准）行使上述购回授权。公司此前亦在公告中释出相关细节说明，并提醒股东注意股东大会日期及后续披露安排。
