正力新能(03677.HK)公告显示，股东大会拟于2026年6月26日召开会议审议一项股份购回授权，授权董事会在合规期限内于香港联交所回购不超过已发行H股总数10%的股份。根据公司披露，其截至最后实际可行日期共发行约2,554,421,103股股份，其中H股1,485,293,739股，授权上限约为148,529,373股。
公司指出，回购所需资金计划来自合法的内部资源，相关回购行为将符合中国有关法律规定以及联交所上市规则。公司方面称，此举有望提升投资者信心，并符合公司整体及股东的最佳利益。
公司同步提示，若该授权获股东大会批准，其生效时间将自决议通过之日起至下届年度股东大会结束或股东大会决议撤销、变更授权之日止。股权登记日为2026年6月26日，公司将自2026年6月23日至2026年6月26日暂缓办理股份过户手续。公司呼吁股东按时办理相关登记及授权委托，以充分行使表决权。董事会认为，股份购回安排有利于优化公司资本结构与提升股东回报。
