ZYBANK (Zhongyuan Bank Co., Ltd.) held its 2025 Annual General Meeting on 29 June 2026 at the bank’s headquarters in Zhengzhou, Henan. All nine ordinary resolutions outlined in the June 2026 circular were approved by poll.

Shareholder participation and voting • Total issued shares: 36.55 billion, comprising 29.60 billion Domestic Shares and 6.95 billion H Shares. • Shares represented at the meeting: 10.51 billion (28.78 % of total issued). • After excluding 600.34 million pledged shares with restricted voting rights, 9.91 billion shares were entitled to vote. • Each resolution received 9.84 billion votes in favour and 70.23 million against, reflecting a 99.29 % approval rate.

Key resolutions passed 1. Board Work Report, Final Account Report, Profit Distribution Plan, Directors’ Remuneration Report, Supervisors’ Remuneration Report for 2025. 2. Capital Adequacy Ratio Report for 2025 and Capital Adequacy Ratio Plan for 2026. 3. Financial Budget Report and engagement of auditors for 2026. 4. Appointment of Mr Zhang Tao as Executive Director of the third Board session.

Management changes • Zhang Tao’s appointment as Executive Director was endorsed at the AGM, pending qualification approval by the National Financial Regulatory Administration Henan Office. • The Board, at a meeting on 29 June 2026, elected Zhang Tao as Vice Chairman for the remainder of the third Board’s term, also subject to regulatory approval.
