Town Ray Announces AGM Results: All Resolutions Passed, HK$0.075 Final Dividend, Board and Management Reshuffle

Town Ray Holdings Limited (Town Ray) reported a clean sweep at its Annual General Meeting (AGM) on 27 May 2026, with shareholders voting overwhelmingly in favour of every resolution on the agenda.

Key AGM Outcomes • Shareholder Support: Each of the seven ordinary resolutions secured at least 99.91% of the 301.90 million votes cast, while the special resolution amending the Memorandum and Articles of Association received 100% approval. • Dividend Declaration: A final dividend of HK$0.075 per share for FY 2025 was endorsed with unanimous support (301.90 million votes in favour, 0 against). • Capital Mandates: Directors were granted authority to issue new shares equivalent to up to 20% of issued share capital (99.91% approval) and to repurchase up to 10% of shares (100% approval). An extension mandate allowing re-issuance of repurchased shares also passed with 99.91% support. • Auditor Re-appointment: Ernst & Young was re-appointed as the Company’s auditor with 100% approval.

Board and Management Changes • Retirement: Executive Director and Company Secretary Mr. Chiu Wai Kwong stepped down, citing personal commitments, and ceased to act as Authorised Representative. • New Executive Directors: Shareholders ratified the appointments of Mr. Lee Pak Man, Ms. Tung Ming Yiu and Mr. Luk Hok Keung, each on three-year service agreements effective immediately. Mr. Lee holds 5.00 million shares (about 1.39% of issued share capital). • New Company Secretary & Authorised Representative: Ms. Tung Ming Yiu, also serving as the Group’s accounting director, succeeds Mr. Chiu in both capacities.

Share Capital Snapshot • Total shares in issue at the AGM date: 359.00 million. • Votes cast: 301.90 million, representing a turnout of approximately 84.12%.

Governance Enhancements • Adoption of the amended and restated Memorandum and Articles of Association received full shareholder backing (100% approval), reinforcing the company’s governance framework.

Management expressed appreciation for Mr. Chiu’s contributions and extended a welcome to the newly appointed executives as Town Ray positions itself for its next phase of growth.
