锦艺集团控股(00565)再购Edgeon 6.87%股权 成本约港币292.9万元；后因增发持股被摊薄至14.67%

2026年10月2日，锦艺集团控股有限公司（00565）发布自愿公告，更新其对Edgeon Data Co. Ltd（下称“Edgeon”）的股权变动情况。

锦艺集团的全资附属公司（买方）近日与卖方签订《买卖协议II》，以585,754,992韩元（折合约港币292.90万元）收购Edgeon 583,712股股份，占其已发行股本约6.87%。交易完成后，集团在Edgeon的持股比例由17.90%上升至24.77%。

随后，Edgeon向一名股东配发并发行5,852,115股新股份，占经扩大已发行股本约40.78%。该次股份发行导致锦艺集团在Edgeon的持股比例由24.77%被摊薄至14.67%，构成视作出售约10.10%股权。

公司董事会表示，进一步收购旨在保持集团在Edgeon的持股比例，以延伸其物业营运及开拓数据中心业务；而Edgeon的增发筹资则有助于其补充营运资金、改善现金流及债务水平。

根据香港联交所《上市规则》，上述进一步收购事项及视作出售事项的所有适用百分比率（独立基准及合并基准计算）均低于5%，因此均不构成第14章项下须予披露交易。

公告称，《买卖协议II》及有关股份发行的条款经公平磋商并按一般商业条款订立，符合公司及股东整体利益。
