SHANXI INSTALL (02520): Change in Shareholding Structure of Controlling Shareholder

SHANXI INSTALL (02520) announced that the company recently received a notice from Shanxi Construction Investment Group Co., Ltd. (Shanxi Construction Investment) regarding the transfer of state-owned equity. According to the document issued by the Shanxi Provincial State-owned Assets Supervision and Administration Commission (No. Jin Guo Zi Chan Quan [2025] 75), the Shanxi Provincial Government has decided to transfer the 52.44% equity stake in Shanxi Construction Investment held by Shanxi State-owned Capital Operation Co., Ltd. (Shanxi State-owned Capital Operation) to the Shanxi Provincial State-owned Assets Supervision and Administration Commission (SASAC) for direct ownership (the "Transfer").

Before and after the Transfer, Shanxi Construction Investment remains the direct controlling shareholder of the company, and the Shanxi SASAC continues to be the ultimate beneficial owner. Currently, the above matter is pending completion of industrial and commercial registration procedures.

The shareholding structure of the company after the Transfer is illustrated as follows: The Transfer will not result in any changes to the ultimate beneficial owner, direct controlling shareholder, or its shareholding ratio. It will not affect the stability of the company's control rights, nor will it adversely impact normal production, operations, or sustainable development. There are no circumstances that would harm the interests of the company or minority shareholders.
