远大医药(00512)日前公告称，董事会已向股东提议，于即将召开的股东大会上申请授权回购最高不超过公司已发行股本总数10%的股份。根据公告，截至最后可行日期，远大医药已发行股份总数约为3,549,571,148股，若授权获批，最多可回购约354,957,114股。
公司表示，回购股份的资金将按照百慕达适用法律及上市规则从合法的内部资源中拨付。董事会认为，适时回购股份可优化公司资本结构、提高每股收益及股东价值，符合公司及全体股东的整体利益。根据公告，若在股东大会上通过相关授权，公司得以在2026年6月5日之后按既定规则及市况择机实施回购。
过去十二个月，该公司股价最高曾达10.20港元，最低为5.79港元。远大医药同时提醒股东，公司将于6月2日至5日暂停办理股份过户手续，股东大会定于6月5日上午在香港中环中心召开，将就回购授权相关提案进行表决。
