China In-Tech Schedules 26 Aug 2026 AGM, Proposes 20% Issuance Mandate and 10% Buyback Authority

China In-Tech Limited will convene its Annual General Meeting (AGM) on 26 August 2026 at 3:00 p.m. in Central, Hong Kong. Shareholders will vote on the following ordinary resolutions:

1. Financial Statements • Adoption of the audited consolidated results and directors’ and auditors’ reports for the financial year ended 31 March 2026.

2. Board Composition • Re-election of executive directors Mr. Zhang Huijun, Mr. Zhou Li Yang and Mr. Zhang Jiayou. • Re-election of Professor Wang Zehua as an independent non-executive director. • The Board will be authorised to determine directors’ remuneration.

3. Auditor Re-appointment • Renewal of ZHONGHUI ANDA CPA Limited as external auditor for the fiscal year ending 31 March 2027, with remuneration set by the Board.

4. Share Issuance Mandate • Management seeks a general mandate to allot, issue or deal with additional shares— including any transfer of treasury shares—up to 20% of the Company’s issued share capital (excluding treasury shares) as at the date of the AGM. • Authority extends to offers, agreements and options granted during the mandate period, even if exercised after expiry.

5. Share Repurchase Mandate • Proposal to repurchase up to 10% of issued shares (excluding treasury shares) on the Hong Kong Stock Exchange or other recognised exchanges during the mandate period.

6. Mandate Extension • Conditional on the above approvals, the share-issuance mandate may be increased by the number of shares actually repurchased, effectively adding a further buffer of up to 10% of issued shares.

Key Administrative Dates • Shareholders’ register closure: 21–26 August 2026 (both days inclusive). • Last day for share transfers to qualify for voting: 20 August 2026 (by 4:30 p.m.). • Record date for AGM voting rights: 26 August 2026.

The Board currently comprises four executive directors—Mr. Zhang Huijun, Ms. Cai Dongyan, Mr. Zhou Li Yang, and Mr. Zhang Jiayou—and three independent non-executive directors—Mr. Hu Zhigang, Mr. Ma Yu-heng and Professor Wang Zehua.
