QUANTUM THINK (08050) Control Set to Change Hands with General Offer at Approximately 83.4% Discount

QUANTUM THINK (08050) and offeror Hong Kong Coolxuan Group Limited jointly announced that on August 18, 2025, the offeror entered into a share purchase agreement with the vendor Happy On Holdings Limited. The offeror proposes to purchase approximately 985 million shares from the vendor, representing approximately 72.64% of the company's total issued share capital as of the joint announcement date, for a total consideration of HK$56.2922 million (equivalent to approximately HK$0.05714 per sale share). As of the joint announcement date, the company had approximately 1.356 billion issued shares. Assuming no change in the company's issued share capital from the joint announcement date to the completion date, immediately following completion, the offeror will hold interests in a total of approximately 985 million shares, equivalent to approximately 72.64% of the company's issued share capital. Under Rule 26.1 of the Takeovers Code, following completion, the offeror will be required to make an unconditional mandatory general offer in cash for all issued shares (other than those shares already owned or agreed to be acquired by the offeror and/or parties acting in concert with it). The cash offer of HK$0.05714 per offer share represents a discount of approximately 83.4% to the closing price of HK$0.345 per share as quoted on the Stock Exchange on the last trading day.
