NUMANS Issues Supplemental Details on Cash-Funded Further Acquisitions of Listed Securities

Numans Health Food Holdings Company Limited (NUMANS) released a supplemental announcement on 16 June 2026, adding clarifications to its 11 June 2026 disclosure regarding further acquisitions of listed securities that constitute (i) a discloseable transaction on a standalone basis and (ii) a major transaction when aggregated with previous acquisitions under Chapter 14 of the Hong Kong Listing Rules.

The Board confirmed that the aggregate consideration for the additional securities has been fully settled in cash using internal resources; no funds from the company’s initial public offering were utilised. All other terms and disclosures in the original announcement remain unchanged.

The Board currently comprises two executive directors (Mr. Wang Ping, who also serves as chairman, and Ms. Cui Juan), one non-executive director (Mr. Chan Hok Leung) and three independent non-executive directors (Ms. Yim Wing Yee, Mr. Lau Kwok Fai Patrick and Mr. Yu Tsz Ngo).

The supplemental announcement emphasizes compliance with disclosure obligations and confirms that the financing structure poses no dilution or additional fundraising impact on shareholders.
