Shun Ho Property Investments Limited has approved a comprehensive set of New Articles of Association by special resolution dated 15 June 2026. The revised charter, which replaces the previous constitutional document first adopted in 1970, brings the company’s governance framework into full alignment with Hong Kong’s Companies Ordinance (Cap 622) and the latest Listing Rules.

Key updates include:

1. Expanded Corporate Powers • The company now possesses all rights, powers and privileges of a natural person without limitation and may acquire, hold and dispose of land (Articles 1B–1D). • Explicit authority is granted to issue new shares with varied rights, redeem preference shares, and issue warrants (Article 4).

2. Enhanced Capital Flexibility • The Board may arrange share buy-backs and hold repurchased shares as treasury shares, clarifying that such shares carry no voting or dividend rights until disposal (Articles 6, 69A–69E). • Ordinary resolutions allow increases, consolidations or subdivisions of share capital, while special resolutions permit capital reductions (Article 63).

3. Modern Meeting Mechanisms • General meetings can be conducted physically, as hybrid sessions or entirely electronically, with detailed provisions on notice periods, quorum requirements and voting procedures (Articles 71–84). • The Board and meeting chairpersons are empowered to postpone, adjourn or alter meeting formats to ensure orderly conduct and regulatory compliance (Articles 79–79G).

4. Strengthened Director Provisions • The minimum board size remains two, with no maximum limit (Article 98). • Directors’ remuneration is subject to shareholder approval, and every director will retire by rotation at least once every three years (Article 116). • Expanded rules on conflicts of interest and voting restrictions for directors and their close associates align with updated Listing Rules (Article 107).

5. Investor Protection and Communication • Shareholders may opt to receive corporate documents electronically or via the company website, with clear timelines for deemed delivery (Articles 165–168). • Unclaimed dividend procedures and the company’s right to sell shares of untraceable members after a 12-year period are stipulated to streamline capital management (Article 173).

6. Indemnity and Insurance • Directors, officers and auditors are indemnified against liabilities incurred in the course of their duties, subject to statutory limitations (Article 178). • The company is empowered to purchase liability insurance for directors and officers (Article 179).

7. Miscellaneous Enhancements • Clearer rules address treasury shares, capitalization of reserves, electronic execution of documents, and destruction of old share certificates and records.

These amendments modernise Shun Ho Property’s corporate constitution, providing greater flexibility in capital management, formalising electronic communications, and reinforcing governance standards in line with current regulatory requirements.
