Global New Material to Renew 10% Buy-Back, 20% Issuance Mandates; Four Directors Face Re-election at 26 Jun 2026 AGM

Global New Material International Holdings Limited has released its 2026 Annual General Meeting (AGM) circular, detailing key proposals to be voted on 26 June 2026 in Luzhai County, Guangxi.

Mandate Renewals • Share Buy-Back: The Board seeks authority to repurchase up to 124.84 million shares, equal to 10.0% of the 1,248.44 million issued shares (excluding any treasury shares) recorded on 24 April 2026. Purchases will be financed from legally available funds; the company may hold repurchased shares as treasury stock or cancel them. • Share Issuance: A separate mandate would permit issuance or transfer of up to 249.69 million new or treasury shares, representing 20.0% of issued share capital. An additional resolution proposes extending this limit by the number of shares actually bought back, keeping the total potential issuance within Listing Rules.

Director Re-elections In line with Article 84, the following directors retire and offer themselves for re-election: 1. Executive Director Jin Zengqin 2. Non-executive Director Hu Yongxiang 3. Independent Non-executive Director Hui Chi Fung 4. Independent Non-executive Director Professor Han Gaorong

Share Capital and Governance Highlights • Outstanding shares: 1,248.44 million. • Chairman Dr Su Ertian holds 451.65 million shares (36.17%). A full 10% buy-back would raise his stake to 40.20%, potentially triggering a Takeovers Code mandatory offer; the Board states it does not intend to repurchase shares to that extent. • Register closure: 23–26 June 2026; record date 26 June 2026. Share transfers must be lodged by 22 June 2026 to qualify for voting rights. • Proxy deadline: 10:30 a.m., 24 June 2026. • Auditor: RSM Hong Kong proposed for re-appointment.

If approved, the mandates will replace those granted at the 2025 AGM and remain effective until the next AGM or earlier revocation. The Board recommends shareholders vote in favour of all resolutions.
