Tongdao Liepin Group (Stock Code: 6100) announced a series of subscriptions of wealth management products issued by Bank of Hangzhou Co., Ltd. (BoH). These transactions occurred between 31 December 2025 and 2 February 2026 through several subsidiaries, including TD Elite (Tianjin) Information Technology Co., Ltd., Changsha Ranxing Information Technology Co., Ltd., and Beijing Saiyou Education Technology Co., Ltd. Subscription principals ranged from RMB5 million to RMB50 million for seven structured deposit products and investment plans, mostly with guaranteed principal and pegged to the EUR/USD exchange rate.

The subscriptions were funded by the Group’s surplus cash reserves and certain redeemed principal amounts from previous structured product investments. According to the announcement, the highest applicable percentage ratio under the Listing Rules for these subscriptions—when aggregated with similar previous subscriptions—exceeds 5% but remains below 25%. As a result, they constitute discloseable transactions subject to relevant notification and announcement requirements, though no shareholder approval is needed.

The Group indicated that all products were chosen after comparing quotes from different issuers and considered the relatively higher returns, capital liquidity, and low risk level.
