Future Bright Holdings Limited reported that every item on the agenda of its 15 June 2026 Annual General Meeting (AGM) was approved by poll with overwhelming shareholder support.

Near-Total Voting Support • A maximum of 287.42 million shares—equivalent to 41.40% of the 694.30 million shares in issue—were voted on each resolution. • Approval rates ranged from 99.99% to 100.00%, with dissent never exceeding 0.01%.

Key Board and Governance Outcomes • Re-election of independent non-executive directors Mr. Chek Kuong Fong and Mr. Vong Hou Piu received 99.99% support. • Shareholders authorised the Board to determine directors’ remuneration with 99.99% approval. • BDO Limited was re-appointed as auditor; 99.99% of votes were cast in favour.

Capital Management Mandates Renewed • General Mandate: Directors can issue new shares up to 20% of issued share capital, backed by 99.99% approval (287.38 million votes in favour; 42,000 against). • Repurchase Mandate: The company may repurchase up to 10% of issued shares; the proposal passed unanimously with 100.00% support (287.42 million votes in favour). • Extension Mandate: The share-issue limit can be increased by the number of shares repurchased; 99.99% of votes supported the measure.

Constitutional Update • A special resolution to adopt new bye-laws replacing the existing set passed with 99.99% approval, surpassing the 75% threshold required.

Attendance Notes • Managing Director Mr. Chan Chak Mo, alongside directors Mr. Chek Kuong Fong and Mr. Yu Kam Yuen, Lincoln, attended the meeting in person. Other board members participated via telephone conference.
