NE ELECTRIC Announces 2025 AGM; Auditor Switch Confirmed and No Dividend After RMB 82.70 Million Loss

Northeast Electric Development Company Limited (NE ELECTRIC) has issued a notice convening its 2025 Annual General Meeting (AGM) for 10:00 a.m. on 2 June 2026 at the Conference Room, Internet Finance Building, Haikou City, Hainan Province.

Key resolutions to be tabled:

1. Change of 2025 Domestic Auditor • The Board has proposed replacing the existing domestic auditor with Shenzhen Changjiang Certified Public Accountants Firm for the 2025 financial year. • The proposal, initially approved at the 17th meeting of the 10th Board on 24 December 2025, will be put to shareholders for final endorsement.

2. 2025 Annual Report (Including Audited Financial Statements) • Under International Financial Reporting Standards, the Company recorded a net loss attributable to shareholders of RMB 82.70 million. • No distributable reserves remain on the balance sheet.

3. 2025 Profit Distribution Plan • Given the reported loss and lack of distributable reserves, the Board recommends no cash dividend, bonus shares, or capitalisation of reserves for the year.

4. Work Reports • Separate resolutions will seek shareholder approval for the 2025 Board of Directors’ Work Report and the 2025 Supervisory Committee’s Work Report.

5. Reappointment of 2026 Auditors • For the 2026 fiscal year, Shenzhen Changjiang Certified Public Accountants Firm is proposed as the domestic auditor, while Wilson & Partners CPA Limited is nominated as the international auditor. • The mandate would run for one year, with remuneration to be determined by the Board.

Shareholder logistics:

• Domestic shareholders recorded at China Securities Depository & Clearing by close of business on 26 May 2026, and H-shareholders on the register by that date, are eligible to attend and vote. • The H-share register will be closed from 27 May 2026 to 2 June 2026 inclusive. • Proxy forms must be lodged no later than 24 hours before the meeting.

Board composition as of the announcement date comprises five executive directors—Zhu Xinguang (Chairman), He Wei, Ding Jishi, Mi Hongjie, and Liu Kejia—and three independent non-executive directors—Wang Hongyu, Li Zhengning, and Fang Guangrong.
