Superland Group Sets 23 June 2026 AGM to Approve 2025 Accounts, Board Re-elections and Share Mandates

Superland Group Holdings Limited will convene its annual general meeting on 23 June 2026 at 11:00 a.m. in Room D, The LU+, 3/F, Lu Plaza, 2 Wing Yip Street, Kwun Tong, Hong Kong.

Key items on the agenda include:

• 2025 financial statements: Shareholders will be asked to receive and consider the audited consolidated results and the accompanying reports of the directors and auditor for the year ended 31 December 2025.

• Board composition: Resolutions will be put forward to re-elect six directors—Mr. Ng Chi Chiu (executive), Mr. Louie Dicky (non-executive), Ms. Ho Nga Ling (non-executive), Mr. Law Hung Wai, CPA (independent non-executive), and Dr. Ho Ka Yan (independent non-executive). The board will also seek authority to determine directors’ remuneration.

• Auditor: PricewaterhouseCoopers is nominated for re-appointment, with the board authorised to fix its fees.

• Share capital mandates: – General mandate to issue, allot or deal with new shares— including any sale or transfer of treasury shares—up to 20% of the share capital in issue (excluding treasury shares) on the date of approval. – Mandate to repurchase shares up to 10% of the share capital in issue (excluding treasury shares). – Extension of the issuance mandate by the number of shares repurchased under the 10% mandate.

The register of members will be closed from 17 June 2026 to 23 June 2026 (both days inclusive). Transfers must be lodged with Tricor Investor Services Limited by 4:30 p.m. on 16 June 2026 to qualify for attendance and voting rights.
