IBI Group (1547) Announces Disposal of Subsidiary

IBI Group Holdings Limited (Stock Code: 1547) announced that on 24 October 2025, its indirect wholly-owned subsidiary, IBI Group Limited, entered into a Share Purchase Agreement with a purchaser, under which 80% of the issued share capital of Building Solutions Limited will be sold for HK$1,500,000. Following completion, which is expected within seven days from the signing date, the purchasing party will fully own Building Solutions Limited, and its financial results will no longer be consolidated into IBI Group Holdings Limited’s statements.

According to the company, the targeted stake comprises 8,000 ordinary shares in Building Solutions Limited. As of 30 September 2025, the latter had unaudited net liabilities of approximately HK$6,551,000, and the disposal is anticipated to generate a gain of about HK$680,000 for IBI Group Holdings Limited after waiving an outstanding loan of around HK$7,577,000. The proceeds, payable in two installments, will be used for general working capital.

The transaction is classified as a discloseable transaction under Chapter 14 of the Listing Rules, as its highest applicable percentage ratio is more than 5% but below 25%. It does not constitute a connected transaction. IBI Group Holdings Limited states that the decision to dispose of this non-core asset aligns with its intent to focus resources on core business segments and strengthen overall efficiency.
