Congyu Intelligent Agricultural Sets 5 Jun 2026 SGM to Approve HK$68.81 Million Share Placement

Congyu Intelligent Agricultural Holdings Limited will convene a Special General Meeting (SGM) on 5 June 2026 at 11:30 a.m. in Shenzhen to seek shareholder approval for a share placement arrangement and related mandates.

The Placing Agreement, signed on 1 April 2026 with Funderstone Securities Limited, proposes issuing up to 152.92 million new shares at HK$0.45 per share. If fully subscribed, the transaction would raise approximately HK$68.81 million. Shareholders will vote on: 1) approving, confirming and ratifying the Placing Agreement; 2) granting a specific mandate to the Board to allot and issue the placement shares, conditional on Stock Exchange listing approval; and 3) authorising directors to execute all ancillary documents and actions.

The register of members will be closed from 2 June 2026 to 5 June 2026 (both dates inclusive). To qualify for voting, share transfers must be lodged with Tricor Investor Services Limited by 4:30 p.m. on 1 June 2026. The record date for voting entitlement is 5 June 2026.

Shareholders may appoint proxies; forms must be deposited with Tricor Investor Services Limited at least 48 hours before the SGM. Personal attendance supersedes any proxy appointment.

As of the announcement date (20 May 2026), the Board comprises two executive directors—Mr. Lin Yuhao (Chairman and Co-CEO) and Ms. Yang Yan—and three independent non-executive directors—Ms. Zhu Rouxiang, Ms. Li Yang and Mr. Fu Yan Ming.
