消息面上，公司与潜在卖方订立一份无法律约束力投资意向书，据此，公司拟按投资意向书所载就目标公司(“潜在目标公司”，连同其附属公司统称为“潜在目标集团”)最少80%股权进行潜在收购事项(“潜在收购事项”)。潜在收购事项的代价将有待订约方进一步协商后厘定。
潜在目标公司为一家在中国成立的有限公司，是中国领先的SaaS平台，为企业及商业机构提供全面的全渠道数字化商务、智慧零售及供应链解决方案，并在中国SaaS市场占有重大份额。
潜在目标集团提供广泛的SaaS解决方案，已服务超过3万家企业客户，涵盖快消品、电子、服装、医疗保健及美容等多个行业。
潜在目标集团还与超过100个国内外渠道建立了深度整合，在单一平台上提供其他竞争对手难以匹敌的整合范围及深度。潜在目标集团每年通过其平台处理超过40亿笔订单，年交易总额(GMV)超过人民币5,000亿元。
