中基长寿科学集团有限公司（00767）8月21日发布公告称，因需要更多时间编制及落实通函所载资料，公司将原定于2026年6月30日或之前寄发的收购通函，延迟至2026年9月11日或之前寄发。
本次通函涉及公司拟收购亚洲综合细胞库有限公司25%已发行股本的主要及关联交易，以及根据特别授权发行可换股票据的相关事项。公司此前已就该项交易分别于2025年12月1日、2026年4月2日及2026年8月21日发布公告，并于2025年12月22日、2026年1月16日、2026年3月9日、2026年4月8日、2026年4月30日及2026年6月10日先后公告延迟寄发通函。
公司表示，通函将载列以下内容： 1. 目标公司及买卖协议的进一步资料； 2. 独立董事委员会的建议； 3. 独立财务顾问就交易条款向独立董事委员会及独立股东发出的意见函； 4. 目标公司的财务资料； 5. 上市规则所规管的其他资料； 6. 股东特别大会通告。
截至本公告日，公司董事会成员包括执行董事闫立、李小双；非执行董事何亦武、吕长胜；以及独立非执行董事黄江、黄慈波、王慧娟、谭美珠。
