Wing Tai Properties Calls 28 May 2026 AGM; Proposes 4.0-cent Dividend, Director Re-elections and Fresh Share Issue/Buy-back Mandates

Wing Tai Properties Limited has issued a circular convening its annual general meeting (AGM) for 28 May 2026 at 10:00 a.m. in Kwun Tong, Hong Kong. Key resolutions and data points are summarised below.

Dividend Proposal • Board recommends a final dividend of HK$0.040 per share for the year ended 31 December 2025, subject to shareholder approval.

Board Composition • Six directors stand for re-election: executive director Kenneth Ng; non-executive directors Raymond Kwok and John Chow; and independent non-executive directors Jackson Yeung, Fred Lam and Clement Kwok. • Nomination Committee supports all re-appointments and confirms independence of the three INEDs.

Director Remuneration (effective from FY 2026) • Annual fees per non-executive director: HK$84,500. • Annual fees per independent non-executive director: HK$341,500. • Additional annual fees for committee chairmanships: Audit HK$146,500; Remuneration HK$74,000; Nomination HK$74,000.

Capital Authorities • Share Issue Mandate: authorization to allot and issue up to 20% of issued share capital, excluding any treasury shares, during the mandate period. • Share Repurchase Mandate: authority to buy back up to 10% of issued shares; based on the current 1,374,552,529 shares outstanding, the limit equals 137,455,252 shares. • Extension Mandate: number of shares repurchased may be added to the Issue Mandate capacity.

Takeovers Implications • Concerted shareholder group (including Brave Dragon, Crossbrook and related parties) holds 703,647,765 shares, or 51.19% of issued capital. A full utilisation of the buy-back mandate would raise this proportion to 56.88%, still above the public-float threshold and without triggering a mandatory offer under the Takeovers Code.

Other Resolutions • Re-appointment of PricewaterhouseCoopers as auditor and authorisation for the Board to fix its remuneration. • Share register closes 22 – 28 May 2026; record date for AGM voting is 28 May 2026.

Share Price Reference • Over the past 12 months the stock traded between HK$1.36 and HK$2.71.

Administrative Notes • Proxy forms must reach Tricor Investor Services by 26 May 2026, 10:00 a.m. • No corporate gifts or refreshments will be provided at the AGM.
