Raffles Interior Postpones Shareholder-Requisitioned EGM to 2 September 2026; Trading Suspension Remains

Raffles Interior Limited has deferred an extraordinary general meeting (EGM) originally demanded by a group of shareholders, shifting the session from 11 August 2026 to 10 p.m. on 2 September 2026 (Cayman Islands time).

The Board reached the decision at a fully attended meeting on 4 August 2026 after reviewing: • Two earlier announcements that highlighted irregularities in the requisition notice, including possible violations of the Hong Kong Takeovers Code and disclosure-of-interest rules under the Securities and Futures Ordinance (SFO). • Advice from the company’s Cayman Islands counsel. • Potential overlap between the proposed EGM resolutions—aimed at removing certain directors and appointing new ones—and matters already subject to ongoing Court of Appeal proceedings, which risk being rendered moot if the EGM proceeded as initially scheduled.

Invoking Article 64E of the company’s Articles of Association, the Board has formally notified the requesting shareholders that any resolutions passed at the previously scheduled 11 August meeting will be “invalid, void and of no effect” against the company.

Trading in Raffles Interior shares has been suspended since 1 April 2026 and will continue until the Hong Kong Stock Exchange’s resumption guidance is met. Further announcements will be issued in accordance with Listing Rule requirements.
