GIGADEVICE Calls 2026 Third EGM to Seek Shareholders’ Nod on New H-Share Award Scheme

GIGADEVICE (兆易創新科技集團股份有限公司) has scheduled its 2026 third extraordinary general meeting (EGM) for 2:30 p.m. on 9 September 2026 at the company’s Beijing headquarters. Shareholders will vote on four special resolutions:

1. Adoption of the 2026 H Share Award Scheme. 2. Approval of the overall scheme limit. 3. Approval of a specific sub-limit for service providers. 4. Authorization for the board and/or designated persons to administer all matters related to the new share award plan.

Key timetable • 3 September 2026 (4:30 p.m.): Deadline for lodging H-share transfer documents with Tricor Investor Services to qualify for voting rights. • 4 – 9 September 2026 (both dates inclusive): Closure of the H-share register. • 8 September 2026 (before 2:30 p.m.): Cut-off for submission of proxy forms.

Shareholders may appoint one or more proxies to vote on their behalf, and corporate shareholders must present notarised authorisation documents. The EGM is expected to last less than half a day, and attendees will bear their own travel and accommodation costs.

The board currently comprises three executive directors, one non-executive director and five independent non-executive directors, chaired by Mr Zhu Yiming.
