盛诺集团(01418)在其日前发布的公告中披露，董事会已建议于2026年5月29日（星期五）召开的股东周年大会上向股东提呈一般性授权，拟回购不超过公司当日已发行股本（不含库存股份）总数10%的股份。截至公告最后实际可行日期，公司已发行股份总数约为17.50亿股，若在股东大会前无新股发行或回购，则公司最多可回购1.75亿股。
公司指出，股份回购将仅使用符合开曼群岛公司法及香港联合交易所有限公司证券上市规则等相关法律允许范围内的资金。公司董事会认为，回购股份可能提高公司每股资产净值以及股东回报，符合公司及股东的整体最佳利益。
公司强调，回购股份的定价将基于市场情况确定。过去12个月，公司股价最高曾达每股0.34港元，最低为每股0.161港元。董事会同时提请股东批准于相同股东大会上一并审议的议案，包括授权董事可在获授权发行股份总额内，将回购的股份数量计入拟发行股份的额度中。
盛诺集团为于香港联合交易所有限公司主板上市的公司。根据公告安排，公司股票将自2026年5月26日至5月29日暂停办理股份过户手续。公司股东可于2026年5月22日（星期五）下午四时三十分前办理过户登记手续以获取表决资格。若本次股份回购计划顺利获得大会通过，则授权有效期将持续至下次股东周年大会结束或公司章程及适用法律规定的最晚时限。
