JD Health International Inc. has issued the proxy form for its annual general meeting scheduled for 10:00 a.m. on Monday, 29 June 2026, at Building A, No. 18 Kechuang 11 Street, Yizhuang Economic and Technological Development Zone, Daxing District, Beijing. Shareholders are invited to vote on the following key ordinary resolutions:

• Financial Statements: Receive and adopt the audited consolidated financial statements, together with directors’ and auditor’s reports, for the year ended 31 December 2025.

• Board Composition: – Re-elect Mr. Dong Cao as an executive director. – Re-elect Mr. Richard Qiangdong Liu as a non-executive director. – Re-elect Ms. Ling Li as an independent non-executive director.

• Director Remuneration: Authorise the board to determine directors’ remuneration.

• Auditor Appointment: Re-appoint Deloitte Touche Tohmatsu as external auditor until the conclusion of the next AGM and authorise the board to fix the auditor’s remuneration for the year ending 31 December 2026.

• Share Mandates: – Grant a general mandate to the board to allot, issue and deal with ordinary shares, including any sale or transfer of treasury shares. – Grant a general mandate to repurchase ordinary shares. – Extend the issuance mandate to the extent of shares repurchased under the repurchase mandate.

For validity, completed proxy forms must reach the Hong Kong branch share registrar, Computershare Hong Kong Investor Services Limited, by 10:00 a.m. on Saturday, 27 June 2026. Each shareholder is entitled to one vote per share on a poll.
