粤海投资（00270）公告，旗下全资子公司广东粤海天河城百货发展有限公司已与永旺（香港）百货有限公司签订股权转让协议，以1.52亿元人民币的价格出售所持广东永旺天河城商业有限公司35%股权。交易通过广东联合产权交易中心公开招标完成，永旺百货为唯一且最终竞得方。交易完成后，粤海投资将不再持有广东永旺任何权益。\n\n根据上市规则计算，该交易的最高适用百分比率超过5%但低于25%，构成须予披露交易。永旺百货已支付4,565.54万元保证金，剩余价款将在协议生效后5个工作日内一次付清，全部价款由产权交易中心划转至卖方账户。\n\n广东永旺成立于1995年，主营中国内地零售店铺业务。其2023年、2024年和2025年净利润分别为220.47万元、-688.98万元和-7,774.86万元；截至2025年6月30日的经审计净资产为2.42亿元。独立评估采用收益法（DCF）给出的100%股权估值为4.35亿元，对应35%股权估值1.52亿元。\n\n粤海投资预计此次处置将带来约5,621.60万元收益，所得资金将用于一般营运资金。公司表示，鉴于广东永旺分红规模持续下降，此次交易有助于聚焦水资源等核心主业并优化资产结构。
