NATURAL BEAUTY adds seasoned Taiwan officials to board, reshapes committees and restores HKEX compliance

Natural Beauty Bio-Technology Limited announced a series of governance enhancements effective 25 May 2026, headlined by two high-profile board additions and a realignment of key committees that bring the company back into full compliance with Hong Kong Listing Rules 3.10(1), 3.10A and 3.21.

The board appointed Mr Duh Tyzz-Jiun, 66, as Independent Non-Executive Director (INED), committee member of both the Audit and Nomination Committees, and Chair of the Remuneration Committee. Mr Duh is an experienced public servant and corporate director, currently serving as an independent director at USI Corporation, Walsin Lihwa Corporation and Macronix International. His previous public roles include Taiwan’s Vice Premier (2016), Minister of Economic Affairs (2014) and Chairperson of the National Development Council (2015–2016). He will receive an annual director’s fee of HK$370,000 under a one-year appointment letter, terminable with one month’s notice.

Ms Chou Hui-Ying, 56, joins as Non-Executive Director (NED) and member of both the Audit and Nomination Committees. Ms Chou is the long-standing General Manager and Spokesperson of Eastern Media International Corporation (EMIC), holding extensive experience in corporate governance, legal compliance and HR management. EMIC is a substantial shareholder in Natural Beauty with an approximate 30% stake. Ms Chou’s one-year service contract, also terminable with one month’s notice, sets total annual emoluments at HK$240,000.

Further committee adjustments include: • Ms Lin Yen-Ling’s addition to the Remuneration Committee. • Mr Lin Tsalm-Hsiang’s elevation from member to Chairman of the Audit Committee.

Post-changes, the eight-member board now comprises two Executive Directors, three Non-Executive Directors and three Independent Non-Executive Directors, meeting the one-third independence threshold and audit committee requirements mandated by the Hong Kong Stock Exchange.

The company emphasized that both new appointees are free of any shareholding interests in Natural Beauty and maintain no relationships with existing directors or controlling shareholders beyond the disclosed EMIC shareholding connection for Ms Chou.
