Grand Field Group Sets 11 June 2026 AGM to Review FY25 Results, Elect Directors and Seek Fresh Share Issue & Buy-back Mandates

Grand Field Group Holdings Limited (Grand Field Group, 00115) has issued a notice convening its 2026 annual general meeting (AGM) for 11 June 2026 at 10:00 a.m. The meeting will be held at Suites 2701-08, 27/F., Shui On Centre, 6-8 Harbour Road, Wanchai, Hong Kong.

Key agenda items include:

• Financial statements: Shareholders will consider and receive the audited consolidated financial statements of Grand Field Group and its subsidiaries, along with the directors’ and auditor’s reports, for the financial year ended 31 December 2025.

• Board composition: The company proposes the re-election of Mr Kwok Siu Bun and Ms Kwok Siu Wa Alison as executive directors, and Mr Tsui Matthew Mo Kan as an independent non-executive director. The board will also seek authorisation to fix directors’ remuneration.

• Auditor re-appointment: ZHONGHUI ANDA CPA Limited is nominated for re-appointment as external auditor, with the board authorised to determine its remuneration.

• General mandates: – Share issuance mandate: Authority for the board to allot, issue or deal with new shares and convertible securities up to 20% of the company’s issued share capital (excluding any treasury shares) as at the date of the AGM. – Share repurchase mandate: Permission to buy back shares on recognised stock exchanges up to 10% of the issued share capital (excluding treasury shares). – Mandate extension: The share issue limit may be increased by the amount of shares repurchased under the above buy-back mandate.

Administrative details:

• Shareholders must lodge share transfer documents with Tricor Investor Services Limited by 4:30 p.m. on Friday, 5 June 2026, which serves as the last record date for determining AGM voting eligibility.

• A proxy form is enclosed; completed forms must be submitted to the registrar at least 48 hours before the AGM.

• In the event Typhoon Signal No. 8 or above or a “black” rainstorm warning is in effect after 7:00 a.m. on the meeting day, the company will announce a rescheduled meeting time and venue on the HKEX and company websites.

As of the notice date (27 April 2026), Grand Field Group’s board comprises four executive directors—Mr Ma Xuemian (Chairman), Mr Kwok Siu Bun, Ms Chow Kwai Wa Charmaine and Ms Kwok Siu Wa Alison—and three independent non-executive directors—Mr Hui Pui Wai Kimber, Mr Liu Chaodong and Mr Tsui Matthew Mo Kan.
