Malaysian Advisory Firm Sets IPO Terms at $4 Per Share, Targeting $30 Million Raise

Malaysia-based business consultancy V Capital Consulting Group (VCCG) has unveiled the pricing details for its upcoming initial public offering on Thursday. The Kuala Lumpur-headquartered company intends to offer 7.5 million shares at $4.00 each, aiming to secure $30 million in gross proceeds from the listing.

Based on the proposed offering price, the firm's market capitalization is projected to reach $142 million. The company initially submitted its US IPO application in January 2026, with the most recent amendment to its registration documents occurring in March. Alongside the latest filing update, V Capital Consulting Group also made a change to its lead underwriter for the transaction.

V Capital Consulting Group specializes in providing advisory services for companies seeking to go public, alongside business strategy consulting. Its offerings encompass end-to-end listing solutions, which include organizational readiness assessments, management of due diligence workflows, peer and sector benchmarking, assistance with drafting offering documentation, and continuous support for clients throughout the IPO journey.

The company traces its origins to Malaysian advisory firm VCI Global (VCIG), which completed its own Nasdaq listing in 2023. A corporate restructuring took place in 2026, during which VCI Global divested its entire stake in VCCG to VHKL—an entity controlled by VCIG Chief Executive Hoo Voon Him—for a consideration of $34 million. This payment remains outstanding and is scheduled to be settled in cash and/or stock by December 15, 2028.

Following the completion of that sale, Hoo Voon Him transferred his full controlling interest in VHKL to his spouse, Liew Soo Hua, who serves as an executive director at V Capital Consulting Group. Founded in 2016, the company generated revenue of $11 million over the twelve-month period ending December 31, 2025.

The firm plans to list on the Nasdaq under the ticker symbol VCCG. Craft Capital Management is acting as the sole book-running manager for the offering, having replaced the previously appointed underwriter, D. Boral Capital.
