REF Holdings Calls 29 June 2026 EGM to Approve New Share Option Scheme

REF Holdings has issued a formal notice convening an extraordinary general meeting (EGM) for 29 June 2026 at 11:00 a.m., to be held at Units 5906–5912, 59th Floor, The Center, 99 Queen’s Road Central, Hong Kong.

The sole ordinary resolution to be put before shareholders seeks approval of: • The adoption of a New Share Option Scheme; and • The establishment of a corresponding Scheme Mandate Limit that will apply to the New Share Option Scheme and any other option schemes of the company.

Shareholders recorded on the register may appoint the meeting chairman or another designated person as proxy. Completed proxy forms, together with any relevant authorisations, must reach Union Registrars Limited (Suites 3301–04, 33/F, Two Chinachem Exchange Square, 338 King’s Road, North Point, Hong Kong) no later than 48 hours before the scheduled start of the EGM.

In cases of joint shareholdings, voting rights at the meeting will rest with the first-named holder on the register who is present in person or by proxy. Corporate shareholders may execute the proxy under seal or through a duly authorised representative.

The EGM will proceed as scheduled unless adjourned, and the appointed proxy will have discretion to vote or abstain on any resolutions properly raised that are not specified in the current notice.
