Voicecomm Technology Co., Ltd. (Voicecomm) has completed the full redemption of its investments in Prudent Wealth Global Fund SPC and Vanguard Fund SPC, both incorporated in the Cayman Islands. From 2 March to 8 May 2026 the company recovered an aggregate HK$259.00 million, generating a combined gain of HK$19.00 million over the initial HK$240.00 million subscribed.
Prudent Wealth and Vanguard each returned HK$129.50 million against an individual subscription cost of HK$120.00 million, delivering HK$9.50 million in realised gains per fund. Post-redemption, Voicecomm no longer holds any interest in either vehicle.
Management intends to deploy the proceeds as follows: 1. RMB169.20 million (approximately HK$193.50 million) will be redirected to the original purposes set out in the June 2024 prospectus, with temporarily idle portions placed in short-term interest-bearing accounts at licensed financial institutions. 2. The remaining RMB57.30 million (approximately HK$65.50 million) will serve as general working capital for the group’s conversational AI business.
According to the Hong Kong Listing Rules, the transaction meets the thresholds of a discloseable transaction, as the applicable percentage ratios exceed 5% but are below 25%. Voicecomm’s board considers the terms fair and aligned with shareholders’ interests, noting that the action rectifies the prior deviation from the intended use of IPO proceeds and enhances liquidity for scheduled capital needs.
The reported HK$19.00 million gain is based on preliminary management estimates and remains subject to audit. All currency translations adopt the exchange rate of HK$1 = RMB0.87463, as published by the State Administration of Foreign Exchange on 8 May 2026.
