ATV Holdings Clarifies INED Appointment Date, Discloses Audit Committee Breach and Petition Update; Trading Remains Suspended

Asia Television Holdings Limited (ATV Holdings, 00707) issued a multi-faceted announcement on 18 May 2026 covering corrections to board disclosures, compliance deficiencies and the latest status of a winding-up petition, while confirming that its shares remain suspended.

The company clarified that independent non-executive director (INED) Kuang Feng signed his appointment letter on 4 September 2025, not 12 August 2025 as previously stated in the 7 May 2026 disclosure.

ATV Holdings acknowledged non-compliance with Hong Kong Listing Rule 3.21 because its Audit Committee lacks an INED chair following the resignation of Mr. Tsao. Management is seeking a suitable INED to fill the vacancy and assume the committee chairmanship within the three-month period stipulated under Rule 3.11.

Regarding the winding-up petition filed in 2025, the Hong Kong High Court adjourned substantive arguments to 22 May 2026 after a hearing on 8 December 2025. The company pledged to update shareholders on further developments.

Trading in ATV Holdings shares has been halted since 11 August 2025 at 9:00 a.m. and will stay suspended until further notice. The board advises shareholders and prospective investors to exercise caution when dealing in the company’s securities.
