Keppel outlines incorporations, acquisitions and divestments for the first half of 2026

Keppel Ltd. announced a series of corporate actions carried out between Jan, 01 2026 and Jun, 30 2026 under Rule 706A of the Singapore Exchange Listing Manual.

Four subsidiaries were incorporated during the period: Keppel Decarb Philippines Inc. (issued capital 12.0 million Philippine pesos), Keppel Investment Partners (ME) Ltd (issued capital 0.286 million US dollars), BNRK GP Pte. Ltd. in Singapore (issued capital 1 renminbi) and BNRK GP Pte. Ltd. in the Cayman Islands (issued capital 1 US dollar).

Equity acquisitions lifted the group’s positions in its managed real-estate trusts. A total of 343.94 million new Keppel REIT units were taken up on Jan, 19 2026 at 0.96 Singapore dollars per unit, followed by 18.03 million units on Feb, 13 2026 and 12.26 million units on Apr, 30 2026 through management-fee payments, taking Keppel’s deemed stake from 37.256 percent to 37.633 percent before subsequent reductions. Keppel DC REIT Management received 3.79 million units on Feb, 12 2026 and 1.65 million units on May, 12 2026 at issue prices of about 2.20–2.24 Singapore dollars per unit, raising Keppel’s holding from 19.182 percent to 19.343 percent before later dilution.

Outside the listed trusts, Oil (Asia) Pte. Ltd. paid 18.3 million US dollars (about 23.6 million Singapore dollars) on Jan, 05 2026 to redeem a preference share in Jencity Limited, making Jencity a wholly-owned subsidiary. Three Vietnamese land companies—Estiva Charm, Estiva Villa and Estiva Heights—were each acquired for 34.3 percent stakes between Mar, 31 2026 and Apr, 13 2026 for a total of roughly 100.4 million Singapore dollars, turning them into associates.

Several divestments were completed. Key transactions included: • Distribution in specie of 201.3 million Keppel REIT units on May, 08 2026, cutting Keppel’s stake to 33.580 percent. • Exit from DataOne Asia (Philippines) Inc. for 0.07 million Singapore dollars on Jan, 09 2026. • Sale of a 20 percent interest in ABIKS Development Company Limited for 2.8 million Singapore dollars on Jan, 15 2026. • Subscription by Nomura Real Estate Asia for shares in VN Shori Pte. Ltd. on Jan, 23 2026, reducing Keppel’s stake in VN Shori to 50 percent and bringing in 25.4 million Singapore dollars of cash. • Disposal of an 86.83 percent stake in Keppel Philippines Properties Inc. on Apr, 15 2026 for 10.5 million Singapore dollars. • Sale of PRE 1 Investments Pte. Ltd., owner of the i12 Katong mall, for about 372.0 million Singapore dollars on Jun, 25 2026. • Transfer of a 39 percent interest in Keppel Merlimau Cogen Pte. Ltd. for 125.6 million Singapore dollars on Jun, 26 2026 (116.8 million Singapore dollars received after adjustments). • Completion of the previously announced divestment of an 80 percent stake in 800 Super Holdings Limited on Mar, 20 2026 for a base purchase price of 637.1 million Singapore dollars.

Employee unit vesting and director-fee settlements on Mar, 31 2026 and Jun, 12 2026 led to marginal decreases in Keppel’s deemed interests in Keppel REIT and Keppel DC REIT.

Keppel stated that, following these transactions, the relevant entities have been reclassified as subsidiaries, associates or have ceased to be part of the group, as applicable.
