Evergreen Products Proposes New Articles of Association to Meet HKEX Paperless Listing Rules

Evergreen Products Group Limited announced a plan to replace its existing memorandum and articles of association with a fifth amended and restated version.

The proposed amendments aim to:

1. Align the governance framework with the latest Hong Kong Listing Rules, particularly the expanded paperless listing regime, which covers electronic submission of shareholder instructions, electronic payment of corporate action proceeds such as dividends, and electronic voting at general meetings.

2. Introduce related housekeeping and consequential changes.

Shareholders will vote on the special resolution at the company’s annual general meeting scheduled for 15 May 2026. A detailed circular outlining the revisions and the AGM notice will be dispatched in due course.

The announcement was authorised by the board on 24 March 2026 and signed by Chairman and CEO Chang Yoe Chong Felix. The board currently comprises four executive directors, one non-executive director, and three independent non-executive directors.
