China Modern Dairy Holdings Ltd. reported a forthcoming change in board composition, effective 25 March 2026. Non-executive director Zhang Ping will step down upon reaching retirement age, simultaneously relinquishing seats on both the Audit Committee and the Remuneration Committee.
To fill the vacancy, Shen Xinwen, aged 54, will be appointed as a non-executive director and will join the Audit and Remuneration Committees on the same date. Shen is currently an executive director, vice president and chief financial officer of China Mengniu Dairy Company Ltd., and holds 27,937 underlying Mengniu shares, equal to approximately 0.001 % of Mengniu’s issued share capital.
Shen’s three-year term will be governed by a letter of appointment that provides no director’s fee or allowance. He is subject to retirement by rotation and re-election in accordance with the company’s articles and Hong Kong listing rules.
The board expressed gratitude for Zhang Ping’s service and welcomed Shen Xinwen’s appointment, noting his two decades of financial and corporate administration experience across COFCO-related entities and listed subsidiaries.
