ENVISION GREEN Commits RMB 380 Million to Acquire Over 100 High-Performance Servers for AI Expansion

ENVISION GREEN (01783) has announced that its board approved a proposed purchase from seller Shanghai Shunquan Technology Co., Ltd. on September 10, 2026, in which its indirect wholly-owned subsidiary, Shanghai Youfu Cloud Computing Co., Ltd., will enter into a new server purchase agreement to acquire more than 100 high-performance servers supporting the group's cloud computing and intelligent computing service capabilities. These servers, featuring NVIDIA's popular graphics processing units for intelligent computing services, carry a total consideration of RMB 380 million (approximately HKD 439.7 million).

Since the acquisition of the intelligent computing business, the company has been actively developing its cloud computing and artificial intelligence infrastructure operations. The company had previously placed orders with the seller to purchase servers worth RMB 1.2884 billion. The target group acquisition and the August server purchase represent the group's strategic expansion into the intelligent computing sector, which primarily involves leasing computing power to customers in exchange for service fees.

The proposed purchase is designed to support the target group's cloud computing and intelligent computing service capabilities, including new client contracts secured by the target group, which are expected to fully utilize the products acquired under the server purchase agreement. By procuring high-performance servers to deploy intelligent data infrastructure, the company will be able to fulfill its secured client contracts and further grow the newly acquired intelligent computing business.

The intelligent computing business operates in a rapidly expanding industry with robust customer demand. The company will continue to scale this business through a demand-driven strategy, prudently advancing development and ensuring any expansion occurs only after securing binding commitments from clients.

The intelligent computing business currently provides 1.5 megawatts of computing power to its clients and has contracted to supply an additional 7.0 megawatts. The company anticipates increasing its computing capacity to 16.0 megawatts, provided it can source the necessary computing hardware and enter into agreements with suitable clients. Should the development plan materialize, the intelligent computing business is expected to become a significant component of the group's operations, with revenue from this segment for the fiscal year ending March 31, 2027, potentially reaching 40% of the group's total revenue for the fiscal year ending March 31, 2026.
