Jiangsu Expressway AGM Green-lights RMB0.49 Dividend and RMB16.00 Billion Debt Programmes

Jiangsu Expressway Company Limited held its 2025 Annual General Meeting (AGM) on 15 June 2026 in Nanjing. Shareholder turnout reached 73.02 % of voting shares, representing 3.68 billion shares.

Key Resolutions and Financial Actions 1. Final Dividend • Cash dividend of RMB0.49 per share (tax inclusive) was approved. • H-share payout will be HK$0.56 per share, calculated at RMB86.97 per HK$100. • Record date for H shares: 24 June 2026; expected mailing date: on or before 13 July 2026.

2. Audit and Governance • KPMG Huazhen LLP was re-appointed as auditor for 2026 at a fee of RMB3.46 million. • Measures for remuneration management and an annual D&O liability insurance policy (premium capped at RMB0.20 million) were endorsed. • Gender diversity target met with the election of Ms. Zhou Lili as non-executive director; Mr. Liu Gang was also elected to the Board.

3. Debt Financing Capacity Expanded • Registration and issuance of up to RMB4.00 billion in medium-term notes and RMB4.00 billion in ultra-short-term notes were authorised. • An umbrella mandate for public corporate bonds not exceeding RMB8.00 billion was approved, covering terms such as size, tenor, coupon, use of proceeds and underwriting method. • The Company may also apply for unified registration of debt financing instruments through the National Association of Financial Market Institutional Investors.

4. Capital Flexibility • A special resolution granted a general mandate to issue additional A or H shares; 91.88 % of votes supported the motion.

5. Intra-group Funding • Four three-year lending facilities to subsidiaries were approved, including RMB1.80 billion to Wufengshan Toll Bridge Company, RMB1.50 billion to Guangjing Xicheng Company, and RMB0.50 billion each to Yichang Company and Changyi Company. Major shareholders abstained from voting on related-party items in compliance with listing rules.

Voting Overview All 18 resolutions passed with strong majorities; most ordinary items received approval rates above 99 %. Independent law firm Beijing Dacheng Law Offices, LLP verified the legality and validity of the meeting procedures and outcomes.

Corporate Governance Note Following the appointment of Ms. Zhou, the Board now satisfies Hong Kong Listing Rule 13.92 on gender diversity.
