Top Education Group Ltd has released a notice regarding its Annual General Meeting (AGM), set to take place on Thursday, 27 November 2025. Shareholders can attend in person at Level 3, Yerrabingin House, 3 Central Avenue, Eveleigh, New South Wales 2015, Sydney, Australia, or access the meeting via electronic facilities at 10:00 a.m. Hong Kong time / 1:00 p.m. Sydney time.

According to the notice, the agenda will include receiving audited consolidated financial statements and reports for the year ended 30 June 2025, declaring a final dividend of HK0.6 cents per share, re-electing several directors, authorizing the board to determine directors’ remuneration for the year ending 30 June 2026, and re-appointing Baker Tilly Hong Kong Limited and RSM Australia Partners as auditors. The board will also seek general mandates to repurchase up to 10% of the company’s total number of issued shares (excluding treasury shares) and to issue new shares up to 20% of the total number of issued shares (excluding treasury shares), with an option to extend the issuance mandate by the number of shares repurchased by the company.

The notice highlights that shareholders entitled to vote may appoint one or more proxies and should lodge proxy forms with the Hong Kong branch share registrar by 10:00 a.m. Hong Kong time on 25 November 2025. Shareholders attending in person or via electronic facilities will be able to vote on the listed resolutions and any amendments approved at the meeting.
