皓文控股（08019）宣布，将寻求股东于股东周年大会上授予董事回购已发行股份不超过10%的一般授权。根据公告，公司目前已发行股份总数为356,072,058股，在授权获得通过的前提下，公司可于授权期内最多回购35,607,205股股份，资金来源为内部联系统筹资金。
该授权有效期截至下届股东周年大会结束或法律及公司章程细则规定的期限届满，以较早到期者为准。根据上市规则和公司章程规定，公司所回购的股份将视公司资本需要进行相应处置。公司董事会认为，本次股份购回决议符合公司及股东的整体利益，有助于优化资本结构及提升股东回报。
公告显示，股东周年大会定于2026年6月29日举行。为确定股东出席会议并投票的资格，公司将自6月24日起至6月29日（包括首尾两日）暂停办理股份过户登记。
