Everest Gold (01815) has announced the receipt of partial consideration of HKD 43.148 million under Subscription Agreement D (corresponding to 26.8 million shares to be subscribed), the remaining consideration of HKD 35.259 million under Subscription Agreement E (corresponding to 21.9 million shares to be subscribed), and partial consideration of HKD 48.783 million under Subscription Agreement F (corresponding to 30.3 million shares to be subscribed), collectively referred to as the relevant subscription agreements. As all conditions precedent under the relevant subscription agreements have been fulfilled, Subscription Agreements D and F were partially completed, and Subscription Agreement E was fully completed on February 6, 2026, in accordance with their respective terms and conditions. Collectively, these transactions are referred to as the completion of certain subscription matters.

A total of 79 million shares, comprising 26.8 million shares under Subscription Agreement D, the remaining 21.9 million shares under Subscription Agreement E, and 30.3 million shares under Subscription Agreement F, were issued to the relevant subscribers at a subscription price of HKD 1.61 per share. These subscription shares represent approximately 6.27% of the company's issued share capital immediately prior to the completion and approximately 5.90% of the issued share capital as enlarged by their issuance.

The net proceeds from the completion of these subscription matters, amounting to approximately HKD 127 million after deducting related fees and expenses, will be used as disclosed in the announcements. Regarding the remaining subscription for a total of 146.8 million shares under the agreements, completion is expected to occur according to the terms and conditions of the respective subscription agreements.
