SF Holding Reports HKD 19.45 Million H-Share Buyback; 160 Million A-Shares Await Cancellation

SF Holding Co., Ltd. has released its Next Day Disclosure Return, outlining recent developments in its dual-listed share structure and ongoing repurchase programmes.

H-share repurchase on 7 September 2026 • The company acquired 625,000 H-shares on the Hong Kong Stock Exchange at prices ranging from HKD 30.98 to HKD 31.56, spending HKD 19.45 million at a volume-weighted average of HKD 31.11 per share. • Treasury holdings of H-shares have risen to 11.57 million, equal to 2.55 % of the 454.31 million H-shares in issue and 4.82 % of the 24 million-share mandate granted on 8 May 2026. • In accordance with Hong Kong Listing Rule 10.06(3)(a), SF Holding is barred from issuing new shares or disposing of treasury shares until 7 October 2026.

A-share buyback progress • Under the “2025 First A-Share Repurchase Plan” approved on 28 April 2025 and revised on 30 October 2025 and 30 March 2026, the company has repurchased 160.16 million A-shares between 3 September 2025 and 21 July 2026. • Repurchase prices ranged from RMB 33.74 to RMB 42.01, and the shares are designated for cancellation. • The repurchased A-shares represent about 3.34 % of the 4.80 billion A-shares currently outstanding; cancellation will reduce the registered share capital once formalities are completed.

Post-transaction capital structure (as of 7 September 2026) • A-shares in issue (excluding repurchased but not yet cancelled): 4.80 billion • H-shares in issue (excluding treasury): 454.31 million • Total issued shares (all classes, excl. treasury): 5.25 billion • Treasury shares: 11.57 million H-shares; no A-shares are held as treasury.

Compliance confirmation The board states that all repurchases complied with the Rules Governing the Listing of Securities on The Stock Exchange of Hong Kong and applicable PRC regulations, with full settlement of consideration and requisite filings completed.

Potential impact Although the latest transactions leave the total share count unchanged for now, the eventual cancellation of the 160.16 million repurchased A-shares would contract the company’s share base by approximately 3.34 %, positioning SF Holding for a prospective uplift in per-share metrics once effected.
