3月13日，TATA健康国际控股有限公司（01255.HK）公告称，全资附属S. Culture Holdings (BVI) Limited已与香港公司Wealthy Steps Company Limited签订协议，以1港元转让Kong Tai Sundry Goods (BVI) Company Limited（“目标公司”）全部已发行股本。交易即日完成后，目标公司及其两家附属公司（统称“目标集团”）不再并入TATA健康的合并报表。

根据香港联交所上市规则第14章，相关百分比率超过5%但低于25%，交易被界定为“须予披露交易”，仅需履行公告及申报义务，无需刊发通函及取得股东批准。

财务数据方面，目标集团2025财年（截至12月31日）收入约878.3万港元，除税后亏损约1,587.5万港元；2024财年收入906.8万港元，除税后亏损3,119.9万港元。截至2025年12月31日，目标集团总资产约2,230万港元，净负债约410万港元。

董事会指出，目标集团持续亏损且欠缺明确发展计划，长期依赖集团资金支持。剥离该资产可减轻TATA健康的财务负担，并集中资源于核心鞋类及零售业务。由于目标集团存在约410万港元净负债，本次交易预计为TATA健康带来同等规模收益，具体金额以完成日账面值为准。

交易所得款项净额（如有）将用于一般营运资金。TATA健康表示，出售协议条款属正常商业条件，符合公司及股东整体利益。
