卓尔智联集团有限公司（股票代码：02098）日前在公告中披露，拟于股东周年大会上更新回购股份的一般授权。授权最高规模可达公司于决议案通过当日已发行股份总数（不包括库存股份）的10%。根据公告，于最后实际可行日期，公司已发行股份数约为12,399,505,800股，授权若获通过，回购上限约为1,239,950,580股。
公告显示，卓尔智联计划从法定可动用资金中拨付回购资金，并遵照开曼群岛相关法规及香港联合交易所有限公司证券上市规则进行。公司董事会指出，此举旨在进一步提升灵活性，并认为购回股份有助优化公司资本结构，同时可为股东带来潜在回报增值。
此外，公司将于2026年5月28日举行股东周年大会，审议上述股份购回授权，并同时审议其他相关常规事宜。公司董事会表示，上述股份购回安排符合公司及股东的整体利益。根据公告安排，卓尔智联于2026年5月22日至5月28日暂停办理股份过户登记，以厘定股东大会的出席资格。
